Terms of Service

These Terms of Service govern your use of KolAI and form a legally binding agreement between you and Supertubos AI, Inc. Please read them carefully before using the Service.

1. Acceptance of Terms

By signing up for, accessing, or using KolAI ("the Service"), you ("Clinic" or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a clinic or organisation, you represent that you have authority to do so. If you do not agree to these Terms, do not use the Service.

2. The Service

KolAI provides an AI-powered patient care coordination platform that automates post-visit follow-up, clinical Q&A, appointment reminders, and rebooking nudges for US dermatology clinics. The Service is provided on a subscription basis. Features, functionality, and pricing are described on our website and in your order form.

3. HIPAA Business Associate Agreement

Use of KolAI requires execution of a Business Associate Agreement (BAA) before any Protected Health Information (PHI) is processed. The BAA is incorporated into these Terms by reference. You must not use KolAI to process PHI until a valid BAA is in place. We will provide you with a BAA as part of onboarding.

4. Subscription and Payment

The Service is billed monthly at $1,000/month (or as stated in your order form). Payment is due in advance at the start of each billing period. We use a third-party payment processor; you agree to their terms as applicable. Subscriptions renew automatically unless cancelled with at least 7 days' notice before the renewal date. All fees are non-refundable except as provided in our 90-Day Money-Back Guarantee below.

5. 90-Day Money-Back Guarantee

If KolAI does not help your clinic recover more than $1,000/month in post-visit revenue within the first 90 days of going live, you may request a full refund of all subscription fees paid. To claim this guarantee, you must: (a) have completed our onboarding process in full; (b) have used the Service consistently for at least 60 of the 90 days; and (c) submit your refund request within 14 days of the end of the 90-day period. We may request reasonable documentation to verify eligibility.

6. Clinic Responsibilities

You are responsible for:

  • Obtaining all necessary patient consents for AI-assisted communication before using KolAI
  • Ensuring all clinical responses you approve in the KolAI library are accurate and appropriate for your patients
  • Keeping your account credentials secure and notifying us immediately of any unauthorised access
  • Complying with all applicable laws and regulations, including HIPAA
  • Reviewing and approving all AI-generated content before it is sent to patients (where your workflow requires it)
  • 7. Acceptable Use

    You may not use the Service to:

  • Transmit false, misleading, or fraudulent information to patients
  • Violate any applicable law, including healthcare regulations
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or make the Service available to third parties without our written consent
  • Use the Service for any purpose other than patient care coordination for your own clinic
  • 8. Intellectual Property

    KolAI and its licensors own all intellectual property rights in the Service, including the platform, AI models, software, and all related materials. These Terms do not grant you any ownership rights. You retain ownership of your clinic's data and the clinical content you provide. You grant KolAI a limited licence to use your data solely to provide the Service.

    9. Data and Privacy

    Our use of your data and patient data is governed by our Privacy Policy (available at /privacy) and, for PHI, by the BAA. We do not sell or share your data or patient data with third parties for their own purposes. Patient data is never used to train AI models.

    10. Confidentiality

    Each party agrees to keep the other's confidential information (including patient data, pricing, and business information) strictly confidential and to use it only as necessary to perform under these Terms. This obligation survives termination of these Terms.

    11. Limitation of Liability

    To the maximum extent permitted by law, KolAI's total liability to you for any claim arising out of or related to these Terms or the Service is limited to the fees you paid in the 3 months preceding the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages. Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the minimum extent permitted by law.

    12. Indemnification

    You agree to indemnify and hold harmless KolAI and its officers, employees, and agents from and against any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

    13. Term and Termination

    These Terms are effective from the date you first use the Service and continue until terminated. Either party may terminate with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or fail to pay. Upon termination, we will provide you with an export of your data for 30 days, after which it will be deleted in accordance with our data retention policy and the BAA.

    14. Changes to These Terms

    We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to updated Terms, you may terminate your subscription before the effective date.

    15. Governing Law

    These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes will be resolved in the state or federal courts of Delaware, and you consent to personal jurisdiction there.
